Terms of Service
Plain-English summary: we'll do good work for the rates and scope we agreed on; you'll pay invoices on time; we'll cap our liability at what you've recently paid us; Pennsylvania law governs.

1. Who's involved
"Tyoga Tech" is a brand operated by CodeMushroom LLC, a Pennsylvania limited liability company. References to "we," "us," or "our" mean CodeMushroom LLC. References to "you," "your," or "Client" mean the business or person we're providing services to.
2. Acceptance
These terms apply when you engage us for services — whether through a written contract, a quote you accept by email, a verbal agreement, or by paying an invoice. If we have a separate written agreement with you, that agreement controls where it conflicts with these terms.
3. Services
We provide IT support services to small businesses, primarily in Tioga County, Pennsylvania and the surrounding region. Our typical scope includes telephony, email and Google Workspace administration, networking, and the procurement and installation of related equipment.
We do not provide web design, website maintenance, or custom software development under the Tyoga Tech name. If you need those, we'll refer you elsewhere.
4. Pricing and billing
Our standard rate is $55 per hour, billed in 15-minute increments with a 15-minute minimum per request. Larger projects get a flat-rate quote up front.
Recurring services (such as hosted phone service) are billed monthly at the rate stated in your engagement.
Invoices are due on receipt unless otherwise agreed. We accept card and ACH bank-transfer payments through Stripe. Past-due balances may accrue a service charge of 1.5% per month or the maximum allowed by Pennsylvania law, whichever is lower.
Equipment we purchase on your behalf is billed at our cost plus a reasonable handling fee disclosed in the quote.
5. Your responsibilities
To do our work effectively, we need you to:
- Provide accurate information about your environment, accounts, and goals.
- Give us reasonable access (physical and remote) to the systems we're working on.
- Pay invoices on time.
- Respond to questions that block our work in a reasonable timeframe.
- Keep your own backups of critical data unless we've explicitly contracted to handle backups for you.
6. Service availability and standards
We perform services with the care and skill reasonably expected of a professional IT services provider. We do not guarantee specific uptime, response times, or outcomes unless we've agreed to a specific service-level commitment in writing.
Third-party services (carriers, software vendors, internet providers, cloud platforms) are outside our control. When something they provide breaks, we'll help you work around it; we cannot guarantee how fast they'll fix it.
7. Confidentiality
We treat your business information as confidential. We won't disclose it except to our service providers as needed to do the work, when required by law, or with your permission.
You agree not to publicly disclose the specifics of our pricing, internal documentation we share with you, or proprietary methods without our written permission.
8. Intellectual property
You own your data, your accounts, and your equipment. We own our internal tools, scripts, runbooks, and methods.
For configuration we set up specifically for you (network configs, phone-system extensions, email-routing rules, etc.), you have the right to use, modify, and copy that configuration for your own business operations indefinitely, even after our engagement ends.
9. Warranty disclaimer
We provide services with reasonable care. To the extent permitted by law, we make no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. Our advice is given in good faith based on our experience; you remain responsible for decisions you make about your business.
10. Limitation of liability
To the extent permitted by Pennsylvania law, our total liability to you for any claim arising out of or relating to the services is limited to the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim.
We are not liable for indirect, consequential, special, or incidental damages — including lost profits, lost revenue, lost data, or business interruption — even if we knew or should have known they were possible.
Nothing in these terms limits liability that cannot be limited under applicable law (such as for fraud or willful misconduct).
11. Indemnification
Each party will indemnify the other against third-party claims caused by its own gross negligence, willful misconduct, or breach of these terms.
12. Termination
Either of us can end an engagement with 30 days' written notice. You'll pay for work performed up to the termination date. We'll provide a reasonable hand-off (account ownership transfers, documentation of current configuration) at our standard hourly rate.
We can suspend services without notice for non-payment more than 30 days past due, or for activity that's illegal, abusive, or that puts our other clients or systems at risk.
13. Governing law and disputes
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.
We'd rather solve problems by talking. If a dispute comes up, please email hello@tyogatech.com first and give us a reasonable chance to make it right.
If informal resolution fails, the parties consent to the exclusive jurisdiction of the state or federal courts located in Tioga County, Pennsylvania for any unresolved dispute.
14. Changes to these terms
We may update these terms from time to time. The version posted at this URL on the date of any new engagement applies to that engagement. We won't apply material changes retroactively to work already in progress without your agreement.
15. Miscellaneous
If a court finds any part of these terms unenforceable, the rest stay in effect.
These terms are between you and CodeMushroom LLC dba Tyoga Tech. Neither side can assign them without the other's consent, except in connection with a sale of all or substantially all of the business.
